Board Resolutions: How to Record the Decision Precisely
Capture resolution wording, authority, voting outcomes and conditions without confusing discussion with approval.
Distinguish proposals from adopted decisions
A proposal, recommendation and resolution are different records. Record the precise motion or resolution that the authorised body actually adopted. Avoid summarising a long discussion as a unanimous approval when no vote or permitted decision process occurred. Check the organisation’s governing rules for the required form and approval mechanism.
Capture the minimum decision fields
A useful resolution entry identifies the meeting and agenda item, exact approved wording, decision date, approving body, applicable authority, voting outcome where required, conditions, effective date and a source reference to approved minutes. If an amount, date or named delegate is material, verify it against the authorised paper rather than relying on memory.
Treat amendments as changes to the motion
Where a motion changes during debate, distinguish the original draft from the final text put to the decision-maker. Do not silently combine alternative wordings. Record amendments and the final result at the level required by the rules. If the vote fails, say it failed; do not add a decision register entry that implies adoption.
Track delegated authority
A board may approve a principle but delegate execution to a named officer within limits. Record the limit, required consultation and any conditions precedent. A task assigned to prepare a contract is not the same as permission to sign it. Link implementation actions separately and avoid giving a chatbot or secretary implied authority to approve.
Fictional worked example
A fictional association considers a £2,000 accessibility audit. The draft paper asks for £3,000. The approved resolution instead authorises the treasurer to commission an audit up to £2,000 after obtaining two quotations. The minutes record the final ceiling and conditions; the action tracker records the treasurer’s next steps. Neither record says that a contract has already been signed.
Approval and correction controls
Verify the final text against chair notes and any voting record before circulation. Mark drafts as provisional. After formal approval, preserve the approved version and link any later amendment to the authority and date that permitted it. If a decision is challenged, flag it for human legal or governance review rather than rewriting history.
Scope: General operational guidance, not jurisdiction-specific legal advice. Check the applicable constitution, bylaws, policies and law. Worked examples are fictional; SecretAIry's public demo does not retrieve customer records.
