Meeting Conflicts of Interest: Declarations, Recusals and Records

Record conflicts and participation decisions without turning minutes into a disclosure of private information.

Set the policy boundary

A conflict may be actual, potential or perceived; the organisation’s governing documents and applicable law determine the definition and required response. Give members the agenda early enough to consider whether a declaration is needed. The chair or designated governance lead, not an automated tool, decides how the meeting proceeds under the policy.

Separate the declaration from the ruling

A register can note the member, agenda item, broad nature of interest, date of declaration, decision-maker and required mitigation. Record the procedural ruling separately: whether the member may receive papers, join discussion, vote, or must leave. A declaration does not automatically mean a person is disqualified; nor does disclosure itself cure every conflict.

Make the meeting sequence auditable

At the start, invite declarations and refer to any standing register. Before each affected item, confirm whether circumstances changed. Record the time a member withdrew and returned if it affects quorum or the validity of a vote. The chair should verify the applicable quorum rule after any recusal, rather than assuming the original attendance count remains valid.

Protect sensitive detail

Minutes usually need enough information to show that the conflict was handled, not a narrative of personal finances, health or family circumstances. Keep restricted supporting disclosures in an access-controlled register with a retention rule. Avoid copying sensitive material into public agendas or searchable summaries.

Fictional worked example

At a fictional facilities committee, a member discloses a commercial connection to a bidder. The chair consults the committee policy, records that the member leaves for item 4, and checks the remaining eligible members against the quorum requirement. The committee defers its vote when the threshold cannot be confirmed. The minutes record the deferral, not an invented award decision.

Quality-control checklist

Before approval, confirm the declaration, procedural ruling, arrival and departure times where relevant, quorum assessment and exact decision status. Preserve any authorised later correction as an amendment with a reason and approver. Link the action to verify quorum to the next meeting without treating it as a completed resolution.

Scope: General operational guidance, not jurisdiction-specific legal advice. Check the applicable constitution, bylaws, policies and law. Worked examples are fictional; SecretAIry's public demo does not retrieve customer records.
