Delegated Authority Exceptions: Recording and Escalating Decisions

Identify decisions outside delegated powers and document referral without retroactively inventing approval.

Check authority before an item becomes a resolution

Compare the proposed action with the current delegation instrument, terms of reference, financial limits and any reserved matters. Verify who can make the decision, whether a conflict or quorum rule changes participation and whether the delegation remains in force. A recommendation by a committee is not equivalent to approval by the board when the committee lacks the necessary power.

Record the boundary clearly

When an item exceeds delegated authority, minute the recommendation and the referral path, not a completed authorisation. State the conditions that must be satisfied before implementation, such as board approval or a revised budget. Avoid phrases such as agreed in principle if they could be misread as a binding commitment. Preserve the proposed wording and relevant authority reference for the next decision-maker.

Handle urgent cases through authorised procedures

Urgency does not itself create new powers. Check whether governing documents allow written resolutions, emergency meetings or another lawful route. Identify who may convene the process and how notice, participation and conflicts are handled. If authority cannot be established, document the unresolved decision and prevent staff from relying on an informal verbal assurance as approval.

Fictional example and control

A fictional sports club's facilities committee supports a £40,000 refurbishment, but its delegated spending ceiling is £10,000. The secretary records a recommendation to the board and an action to prepare cost and safety evidence. No purchase order is issued as a result of the committee vote. The board later makes its own decision, which receives a separate identifier and approval record.

Audit the exception trail

Maintain the original recommendation, referral date, approving body's decision and any changed conditions. Flag implementation attempted before approval and escalate under the organisation's procedures. Revisit the delegation matrix periodically so repeated exceptions reveal whether the policy needs clarification.

This is general operational guidance, not legal advice. Follow governing documents and applicable law. All examples are fictional. SecretAIry's interactive demo does not access customer records.
