Committee Terms of Reference: An Annual Review Checklist

Review committee mandate, delegated powers, membership and reporting duties before governance gaps become operational failures.

Locate the controlling documents

Start with the constitution, bylaws, board delegation schedule, current terms of reference and applicable policies. Confirm which body can amend the committee’s mandate. A committee cannot simply expand its own delegated authority because its members consider the change efficient. Note the version, approval date and next review date of each document.

Test purpose and authority

Ask whether the committee’s purpose is still clear, whether its work overlaps another body and which matters it may decide versus recommend. Specify spending thresholds, reserved board matters and any emergency authority. Make reporting duties explicit: what must be escalated, to whom and by when. Avoid vague wording such as oversee everything.

Check composition and meeting rules

Review membership eligibility, appointment terms, chairing arrangements, quorum, voting, conflicts and attendance expectations. Consider whether relevant skills and independent challenge are present without treating demographic representation as a proxy for expertise. Confirm how substitutes, remote participation and vacancies affect validity under the governing rules.

Measure practical operation

Sample recent agendas, minutes and action registers to see whether the committee actually operates within its mandate. Look for recurring deferred decisions, late papers, unclosed actions and unclear reporting lines. Document observations with source references; a single missed deadline is a prompt for inquiry, not proof that governance has failed.

Fictional example

A fictional charity’s finance committee has started approving contracts above its written limit. The secretary identifies the mismatch during the annual review. The committee recommends a revised delegation schedule to the board but does not retrospectively declare earlier decisions valid. The board seeks advice on any past authorisation gap.

Approval and implementation

Prepare a redline, rationale, impact assessment and effective date for the authorised approving body. Once approved, publish the controlled version, brief members, update templates and archive the previous text. Record unresolved matters and the next scheduled review.

Scope: General operational guidance, not jurisdiction-specific legal advice. Check the applicable constitution, bylaws, policies and law. Worked examples are fictional; SecretAIry's public demo does not retrieve customer records.
